These terms and conditions apply to all services offered by Powerradiant, located at Singel 630, 1017 AZ Amsterdam, Netherlands. By using our services, you agree to these terms.

Definitions

Applicability

These terms and conditions apply to all quotes, offers, agreements and services of Powerradiant. Deviations are only valid if agreed in writing.

Quotes and Offers

All quotes are non-binding and valid for 30 days, unless otherwise stated. Quotes are based on information provided by the customer. Changes to the project may lead to adjustment of the quote.

Formation of Agreement

An agreement is formed when the customer accepts a quote in writing or digitally. Powerradiant reserves the right to refuse assignments without giving reasons.

Execution of Services

Powerradiant will execute the agreed services to the best of its ability. Execution periods are indicative and not fatal deadlines, unless explicitly agreed otherwise. Delay does not give the customer the right to compensation or dissolution.

The execution of work may be affected by weather conditions. In such cases, a new schedule will be made in consultation with the customer.

The customer ensures that:

Prices and Payment

All prices are in euros and exclusive of VAT, unless otherwise stated. Payment must be made within 14 days of invoice date, unless otherwise agreed. In case of non-timely payment, the customer is in default without requiring a notice of default.

In case of payment arrears, we are entitled to charge legal interest and collection costs. Powerradiant reserves the right to suspend work in case of non-payment.

Additional Work

Work that falls outside the original agreement is considered additional work and will be invoiced separately. Additional work is only performed after written approval from the customer.

Warranty and Liability

Powerradiant guarantees that delivered plants are of good quality at the time of delivery. Plants are living organisms and their growth and flowering can be affected by factors beyond our control, such as weather conditions and maintenance.

Our liability is limited to the amount paid out by our insurance in the relevant case. We are not liable for indirect damage, consequential damage or lost profit.

Force Majeure

In case of force majeure, we are entitled to suspend the execution of the agreement or dissolve the agreement without being liable for compensation. Force majeure includes: extreme weather conditions, illness, strikes, government measures and other circumstances beyond our control.

Cancellation

Cancellation by the customer must be done in writing. Upon cancellation, costs may be charged depending on the stage of the project. Already ordered materials and plants will be charged.

Complaints

Complaints about the work performed must be reported in writing within 7 days after completion. Complaints about plants must be reported within 14 days after delivery. After this period, the right to complaints expires.

Intellectual Property

All designs, drawings and advice remain intellectual property of Powerradiant. These may not be used, copied or provided to third parties without written permission.

Applicable Law

Dutch law applies to all agreements. Disputes will be submitted to the competent court in the district where Powerradiant is located.

Changes

Powerradiant reserves the right to change these terms and conditions. Changes take effect after publication on our website.
